Primary Responsibility
To assist in managing the Company’s Corporate Legal Documentations including Entity Structures, Directorships and Ownershipsincluding Company’s Business Licenses, to ensure that the operation of all Company’s business complies with laws and other prevalent regulatory provisions.
To administer, manage and de-risk theprocess of Contracting between Company and Clients, and Contract between Company and Vendors/Suppliers/Subcontractors.
Provide advice and support services to business development staff when conducting Client or Vendor contract reviews.
Comply with Quality, Occupational Safety, Health and Environmental current legislation and with other current requirements.
1. Primary duties and responsibilities:
To establish and maintain corporate holding structure and its subsidiaries in accordance with the prevailing laws and regulations.
To manage the process of any renewal or new establishment of corporate legal documentation, to support company business operation.
Drafting, reviewing contracts and agreements and representing company to negotiate with counterparts for all legal terms of the contract and agreement.
To assist Business Units on the Contract process from receiving the award until the Contract termination.
To monitor all Contract/Agreement between Company and Customers in order to maintain and assist for amendment process, and any indication of events which can lead to an amendment of Contract.
To assist any correspondences between Business Unit and Customers in regards with the Contract.
To attend the meeting with Customers with regards to the Contract as required.
To review the Contract draft during the tender process, including to seek the supporting information from other departments when it is needed at review process.
Drafting, reviewing all legal documentation related to set up of new entities e.g. joint venture company, take over, liquidation and establishing new company.
To provide legal advice and liaise with legal experts and specialists (lawyer & notary, etc.)
To prepare, analyze, and maintain the Company’s Articles of Associations and its amendments are up to date.
To keep current all Company’s legal documentation and ensure their safe custody.
2. Supervisory/ Managerial Responsibilities :
To provide clear direction, communication and control performance expectations of:external advisory services, internal stakeholder and other internal/external stakeholders as required.
To provide leadership and motivation to colleagues provide adequate guidance, instruction and support to enable them performing their tasks, including to enrich their knowledge and skills

Qualification
Bachelor of Law
Minimum 5 years as a Legal and Contracts Advisor or Manager in a Company Group structure
Extensive Experience in Corporate Legal Affairs and Contracts Administration
Having good communication skill
